Second Acquisition for NCA in Poland thanks to entrepreneur Fryderyk Rdułtowski

Fryderyk Rdułtowski, expert in finance and in scaling SMEs, was searching with NCA a Polish light and product-centric manufacturing industries. He successfully closed his deal in December 2023 to acquire Adex Cosmetics & Pharma, a company that produces various cosmetics and perfumes through contract manufacturing, in addition to developing proprietary cosmetic and perfumery products from scratch. JB46 has invested in the operation.

After signing the LOI in 2022, Fryderyk collaborated very closely with the former owner for over a year and a half to help define and carry out the sales process. The deal also fell under two separate jurisdictions, as the operating company is in Poland while the ownership structure is in Luxemburg, which extended the duration of the transaction process due to more complex analyses and significant legal and tax implications.
