After several years together at Clairfield Netherlands, investment bankers Philip Tulp and Michaël Bayer have decided to move to the other side of the table and embark on an entrepreneurial journey through the acquisition of a Dutch company. They founded Fonteyn Bedrijfsopvolging with the support of various Dutch PE investors and entrepreneurs, as well as international players such as Istria Capital, Relay Investments, Agirax, Valmaris Private Investors, Legacy Partners, Novidam, Cabiedes Inversiones, Marc Bartomeus, Till Bossert.
Philip began his career as a tax lawyer at Loyens & Loeff, advising large corporate clients on tax and legal deal structures. He then joined Arex, a fintech focused on integrated invoice financing solutions via an investor marketplace, where he expanded and grew the business into new markets. For the past four years, he has worked at Clairfield, advising both entrepreneurs and investors on M&A. He holds an MBA from IESE Business School.
During his studies, Michaël co-founded Studentchef, a student catering company, which he successfully sold in 2022. In 2019, he joined Clairfield, where, in addition to M&A, he worked as an investment manager for the firm’s PE arm until 2023. He then founded Bayer Financial Consultant, advising scale-ups and SMEs on capital raises and M&A processes, and helping management teams gain insights into the strategic and financial implications, as well as liquidity requirements, of new business plans and growth opportunities.
Fonteyn is seeking to acquire a Dutch B2B company with stable operations, recurring revenues, and positive cash flows, ideally generating €5–25M in turnover and €1.5–5M in EBITDA. They are particularly interested in businesses facing succession challenges, with a preference for companies that have low customer concentration and owners open to a short transition period. Their proposition is a flexible, long-term solution that ensures a smooth transfer of both business and management, with strong emphasis on employee retention, customer relationships, and company culture.
